These terms and conditions (the “Terms”) are a legal agreement between you (“You”) and Producerflow LLC (“Producerflow,”we,” “us,” or “our”) governing your access to and use of our websites, including producerflow.com, and any related pages, features, or content (the “Site”). Certain features available through the Site may enable you to access or use Producerflow’s platform and related services (the “Services”), which may be subject to additional terms.

PLEASE READ THESE TERMS CAREFULLY. BY USING THE SITE OR OBTAINING ANY SERVICES FROM PRODUCERFLOW, YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT ACCEPT ANY OF THESE TERMS, THEN PLEASE DO NOT USE THE SITE. YOU SHOULD PRINT OR OTHERWISE SAVE A COPY OF THESE TERMS FOR YOUR RECORDS.

FURTHER, THESE TERMS CONTAIN AN AGREEMENT TO ARBITRATE, WHICH REQUIRES THAT YOU AND PRODUCERFLOW ARBITRATE CERTAIN CLAIMS BY BINDING, INDIVIDUAL ARBITRATION INSTEAD OF GOING TO COURT AND LIMITS CLASS ACTION CLAIMS UNLESS YOU OPT OUT AS PROVIDED IN SUCH AGREEMENT TO ARBITRATE (SEE SECTION 6 "AGREEMENT TO ARBITRATE").

Producerflow reserves the right to modify, suspend, or discontinue the Site or any features at any time without notice or liability. Producerflow reserves the right to revise these Terms in its sole discretion at any time and without prior notice to You other than by posting the revised Terms on https://producerflowdata.com/. Revisions to the Terms are effective upon posting. Your continued use of the Site after a revised version of these Terms has been posted on our Site constitutes Your binding acceptance of the revised Terms. 

1. The site

Access and Use. You may access and use the Site for your personal or internal business purposes, subject to these Terms.

You are responsible for maintaining the confidentiality of any login credentials associated with your use of the Site and for all activities that occur under your account.

You may use the Site to learn about Producerflow’s products and services, interact with available features, and, where applicable, initiate onboarding or registration processes. Certain features available through the Site may enable you to access or use Producerflow’s platform and related services (the “Services”), which may be subject to additional terms.

You agree not to, and not to permit any third party to, (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Site; (b) modify or create derivative works based on the Site; (c) use the Site for any unlawful purpose; or (iv) interfere with or disrupt the integrity or performance of the Site.

You also agree not to: (i) access or use the Site through automated means, including bots, scrapers, or crawlers, except as permitted by standard search engine indexing; (ii) attempt to gain unauthorized access to any portion of the Site, other accounts, or systems or networks connected to the Site; (iii) introduce viruses, malware, or other harmful code; or (iv) collect or harvest information from the Site, including personal information, without appropriate authorization.

2. Your content

You may submit information, data, or materials through the Site, including in connection with forms, registrations, or onboarding processes (“Your Content”). You are responsible for ensuring that Your Content is accurate, lawful, and that you have the necessary rights and permissions to provide it.

You agree not to submit any content that is unlawful, infringing, or violates the rights of any third party, including privacy or data protection rights.

Producerflow may use Your Content to provide and improve the Site and, where applicable, to facilitate access to the Services, in accordance with these Terms and our Privacy Policy available at https://producerflowdata.com/legal/privacy-policy ("Privacy Policy").

3. Proprietary rights

Ownership. The Site, and all content, features, and functionality available through the Site, are owned by Producerflow and its licensors and are protected by applicable intellectual property laws.

Limited License. Subject to these Terms, Producerflow grants you a limited, non-exclusive, non-transferable right to access and use the Site in accordance with these Terms.

Your Content. You retain ownership of any content you submit through the Site. By submitting content, you grant Producerflow a non-exclusive, royalty-free license to use such content as necessary to operate, maintain, and improve the Site and, where applicable, to facilitate access to the Services, in accordance with these Terms and our Privacy Policy.

Feedback. If you provide feedback or suggestions regarding the Site, you agree that Producerflow may use such feedback without restriction or compensation to you.

4. Disclaimer of Warranties; Limitation of Liability

Disclaimer of Warranties. The Site and all content and functionality made available through the Site are provided on an “as is” and “as available” basis. Producerflow makes no representations or warranties of any kind, whether express or implied, including without limitation any warranties of accuracy, reliability, completeness, merchantability, fitness for a particular purpose, or non-infringement. Producerflow does not warrant that the Site will be uninterrupted, secure, or error-free, or that any defects will be corrected.

LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCERFLOW AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, BUSINESS INTERRUPTION, LOST PROFITS, OR LOST REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE.

IN NO EVENT WILL PRODUCERFLOW’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE EXCEED ONE THOUSAND U.S. DOLLARS ($1,000).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

5. Termination

Termination by Producerflow. Producerflow may suspend or terminate your access to the Site at any time, in its sole discretion, including if you violate these Terms or use the Site in a manner that could harm Producerflow or others.

Termination by You. You may stop using the Site at any time.

Effect of Termination. Upon termination, your right to access and use the Site will immediately cease. Producerflow will have no liability to you or any third party for any termination or suspension of access to the Site.

6. Agreement to arbitrate

Arbitration. You and Producerflow agree that any dispute arising out of or relating to these Terms or your use of the Site will be resolved by binding arbitration conducted in English and administered by the American Arbitration Association (“AAA”) in accordance with its applicable rules. You and Producerflow waive any right to a trial by jury.

Class Action Waiver. Any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. You and Producerflow agree not to participate in any class action or class-wide arbitration.

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction.

Opt-Out. You may opt out of this arbitration agreement by providing written notice to Producerflow within thirty (30) days of first becoming subject to these Terms. Your notice must include your name, contact information, and a clear statement that you wish to opt out of arbitration. 7. Miscellaneous

General. These Terms constitute the entire agreement between you and Producerflow regarding your use of the Site and supersede all prior or contemporaneous communications. 

Assignment. You may not assign or transfer your rights or obligations under these Terms without Producerflow’s prior written consent. Producerflow may assign these Terms without restriction.

Independent Parties. You and Producerflow are independent contractors, and nothing in these Terms creates any partnership, joint venture, or agency relationship.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Governing Law. These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

External Sites. The Site may contain links to third-party websites. Producerflow is not responsible for the content or practices of such websites, and you access them at your own risk.

No Endorsements. Links to third-party websites do not constitute or imply endorsement, sponsorship, or recommendation by Producerflow.
